Terms and Conditions

Welcome to the Terms of Service (these "Terms") for the Voltr Software Development Kit, documentation, APIs, and related developer services (collectively, the "SDK Services") provided by Voltr Protocol (the "Company," "we," "us," or "our").

These Terms govern your access to and use of the SDK Services. By accessing, downloading, or using the SDK Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the SDK Services.

For purposes of these Terms, "Developer," "you" and "your" means you as a developer or entity using the SDK Services. If you use the SDK Services on behalf of a company or other entity, then "Developer" and "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity, and (b) you agree to these Terms on the entity's behalf.

1. SDK Services Overview

1.1 Description of SDK Services

The SDK Services include:

  • Software development kits, libraries, and code samples for building vault strategies on the Voltr Protocol

  • Technical documentation, guides, and API references

  • Developer tools and utilities for vault development and testing

  • Access to testing environments and development networks

  • Technical support resources and community access

  • Code repositories and version control access

1.2 Purpose and Scope

The SDK Services are designed to enable qualified developers to build, test, and deploy automated yield generation strategies (vaults) using the Voltr Protocol infrastructure on the Solana blockchain. The SDK Services provide the technical tools and documentation necessary for vault development but do not include fund management, user-facing interfaces, or direct financial services.

1.3 Relationship to Voltr Protocol

The Company develops and maintains the SDK Services as tools for interacting with the Voltr Protocol, which is a separate smart contract system deployed on Solana. The Company does not operate individual vaults, manage user funds, or control vault strategies deployed by Developers using the SDK Services.

2. Eligibility and Account Requirements

2.1 Developer Qualifications

To use the SDK Services, you must:

  1. Be at least 18 years of age or the age of majority in your jurisdiction

  2. Have the technical competence and experience necessary to develop blockchain-based applications

  3. Possess the legal capacity to enter into binding agreements

  4. Not be prohibited from using the SDK Services under applicable laws

  5. Comply with all applicable laws and regulations in your jurisdiction

2.2 Account Registration

Access to certain SDK Services may require account registration. You agree to:

  1. Provide accurate, current, and complete information during registration

  2. Maintain and update your account information as necessary

  3. Keep your account credentials confidential and secure

  4. Notify us immediately of any unauthorized access or security breach

  5. Accept responsibility for all activities that occur under your account

2.3 Prohibited Persons and Jurisdictions

The SDK Services are not available to:

  1. Individuals or entities located in, incorporated in, or subject to the laws of any jurisdiction where the provision of SDK Services would be prohibited or restricted

  2. Individuals or entities subject to economic sanctions or appearing on sanctions lists maintained by Singapore, the United States, European Union, United Nations, or other relevant authorities

  3. Individuals or entities engaged in illegal activities or money laundering

3. License and Intellectual Property

3.1 License Grant

Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the SDK Services solely for the purpose of developing vault strategies compatible with the Voltr Protocol.

3.2 License Restrictions

You may not:

  1. Copy, modify, or create derivative works of the SDK Services except as expressly permitted

  2. Reverse engineer, decompile, or disassemble any proprietary components of the SDK Services

  3. Distribute, sublicense, or transfer the SDK Services to third parties

  4. Use the SDK Services for any illegal, harmful, or unauthorized purposes

  5. Remove or alter any proprietary notices or labels on the SDK Services

3.3 Open Source Components

Certain components of the SDK Services may be provided under open source licenses. Such components are governed by their respective open source license terms, which are made available in the relevant repositories or documentation.

3.4 Developer Code and Intellectual Property

You retain all rights, title, and interest in any code, applications, or vault strategies you develop using the SDK Services. However, you grant the Company a non-exclusive, worldwide, royalty-free license to use any feedback, suggestions, or improvements you provide regarding the SDK Services.

4. Permitted and Prohibited Uses

4.1 Permitted Uses

You may use the SDK Services to:

  1. Develop, test, and deploy vault strategies on the Voltr Protocol

  2. Build applications that interact with Voltr Protocol smart contracts

  3. Access technical documentation and developer resources

  4. Participate in developer communities and forums

  5. Use development and testing environments provided by the Company

4.2 Prohibited Uses

You may not use the SDK Services to:

  1. Develop applications that violate any applicable laws or regulations

  2. Create vault strategies designed to defraud users or misappropriate funds

  3. Build applications that infringe third-party intellectual property rights

  4. Develop malicious code, viruses, or other harmful software

  5. Engage in any activity that could harm the security or integrity of the Voltr Protocol

  6. Create applications that facilitate money laundering, terrorist financing, or other illicit activities

  7. Develop vault strategies that do not comply with applicable financial regulations in relevant jurisdictions

  8. Use the SDK Services to compete directly with the Company's core business

  9. Share access credentials or provide unauthorized access to the SDK Services

5. Developer Responsibilities and Obligations

5.1 Code Quality and Security

As a Developer, you are responsible for:

  1. Ensuring the security and quality of any code you develop using the SDK Services

  2. Conducting thorough testing of your vault strategies before deployment

  3. Implementing appropriate security measures and best practices

  4. Obtaining independent security audits for production vault strategies

  5. Monitoring and maintaining your deployed vault strategies

5.2 Compliance Obligations

You must ensure that any vault strategies or applications you develop:

  1. Comply with all applicable laws and regulations in relevant jurisdictions

  2. Include appropriate terms of service and risk disclosures for end users

  3. Implement necessary compliance measures including KYC/AML where required

  4. Respect the intellectual property rights of third parties

  5. Do not violate any applicable securities, commodities, or financial services regulations

5.3 User Protection

When developing vault strategies, you must:

  1. Implement appropriate risk management measures

  2. Provide clear and accurate information about strategy risks and performance

  3. Ensure users can withdraw their funds in accordance with stated terms

  4. Maintain transparency about fees, risks, and strategy mechanics

  5. Act in the best interests of vault users

5.4 Technical Requirements

Your use of the SDK Services must comply with:

  1. All technical specifications and guidelines provided in the documentation

  2. Rate limits and usage restrictions imposed by the Company

  3. Security requirements and best practices outlined in the SDK documentation

  4. Version compatibility requirements and upgrade paths

6. Support and Maintenance

6.1 Support Services

The Company may provide technical support for the SDK Services, including:

  1. Documentation and technical guides

  2. Community forums and developer resources

  3. Bug reports and issue tracking

  4. Updates and new feature announcements

6.2 Limitation of Support

Support services are provided on a best-efforts basis and are subject to availability. The Company does not guarantee:

  1. Response times for support requests

  2. Resolution of all technical issues

  3. Continued availability of support services

  4. Support for deprecated or legacy versions of the SDK Services

6.3 Updates and Modifications

The Company reserves the right to:

  1. Update, modify, or discontinue any aspect of the SDK Services

  2. Change technical specifications or requirements

  3. Deprecate or remove features with reasonable notice

  4. Require upgrades to newer versions of the SDK Services

7. Disclaimers and Limitations of Liability

7.1 No Warranties

THE SDK SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  1. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

  2. ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SDK SERVICES

  3. UNINTERRUPTED OR ERROR-FREE OPERATION

  4. SECURITY OR FREEDOM FROM HARMFUL COMPONENTS

  5. COMPATIBILITY WITH THIRD-PARTY SYSTEMS OR SOFTWARE

7.2 Development and Technical Risks

You acknowledge and accept the risks associated with blockchain development, including:

  1. Smart Contract Risks: Smart contracts may contain bugs, vulnerabilities, or design flaws that could result in loss of funds

  2. Integration Risks: Third-party protocols and services may change, fail, or become unavailable

  3. Technical Complexity: Blockchain development involves inherent technical challenges and uncertainties

  4. Regulatory Risks: Legal and regulatory requirements may change and affect the viability of developed applications

  5. Market Risks: Cryptocurrency and DeFi markets are highly volatile and unpredictable

7.3 No Liability for Developer Applications

THE COMPANY SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR ISSUES ARISING FROM:

  1. Vault strategies or applications developed using the SDK Services

  2. User losses in vaults deployed by Developers

  3. Security vulnerabilities in Developer code

  4. Regulatory compliance failures by Developers

  5. Performance issues or failures of Developer applications

7.4 Limitation of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL HAVE NO LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SDK SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.

7.5 No Financial or Legal Advice

The SDK Services, documentation, and any guidance provided are for technical and informational purposes only and do not constitute financial, legal, regulatory, or investment advice. Developers must seek independent professional advice regarding compliance, legal, and regulatory matters.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the SDK Services

  2. Any vault strategies or applications you develop

  3. Your violation of these Terms

  4. Your violation of applicable laws or third-party rights

  5. Any losses suffered by users of your vault strategies

  6. Any security breaches or vulnerabilities in your code

9. Privacy and Data

9.1 Data Collection

The Company may collect and process certain information in connection with your use of the SDK Services, including:

  1. Account registration information

  2. Usage analytics and performance metrics

  3. Error logs and debugging information

  4. Communications and feedback

9.2 Data Use

Information collected may be used to:

  1. Provide and improve the SDK Services

  2. Provide technical support and assistance

  3. Monitor compliance with these Terms

  4. Analyze usage patterns and performance

  5. Communicate updates and important notices

9.3 Data Protection

The Company implements reasonable security measures to protect Developer information and complies with applicable data protection laws in Singapore.

10. Term and Termination

10.1 Term

These Terms remain in effect while you use the SDK Services or until terminated in accordance with this Section.

10.2 Termination by You

You may terminate these Terms at any time by discontinuing use of the SDK Services and deleting any downloaded materials.

10.3 Termination by Company

The Company may terminate or suspend your access to the SDK Services immediately, without prior notice, if you:

  1. Violate any provision of these Terms

  2. Engage in any prohibited activities

  3. Pose a security risk to the SDK Services or other users

  4. Fail to comply with applicable laws or regulations

10.4 Effect of Termination

Upon termination:

  1. Your license to use the SDK Services immediately ceases

  2. You must discontinue all use of the SDK Services

  3. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification shall survive

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the SDK Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

11.3 Dispute Resolution

Before commencing any legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations for a period of 30 days after written notice of the dispute.

12. General Provisions

12.1 Amendments

The Company reserves the right to modify these Terms at any time by posting updated Terms. Material changes will be communicated through the SDK Services or other reasonable means. Continued use of the SDK Services after such modifications constitutes acceptance of the updated Terms.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 No Waiver

The Company's failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent. The Company may assign these Terms without restriction.

12.5 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the SDK Services and supersede all prior agreements and understandings.

12.6 Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, epidemics, government actions, or failures of third-party infrastructure.

12.7 Export Control

The SDK Services may be subject to export control laws and regulations. You agree to comply with all applicable export control and sanctions laws.


By using the Voltr SDK Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
